1. Acceptance
By accessing or using a Guj Infotech website, application or service, you agree to these Terms of Service and our Privacy Policy. If you use a service for an organisation, you confirm that you are authorised to bind that organisation.
2. Services and separate agreements
We provide software, hosted applications, integrations, websites, consulting, support and related digital services. A proposal, order form, subscription plan, statement of work or other written agreement may contain additional terms. If there is a conflict, the specifically agreed written terms take priority.
3. Accounts and security
You must provide accurate information, keep credentials confidential, use reasonable security controls and notify us promptly of suspected unauthorised access. You are responsible for activity performed through your account and for ensuring authorised users follow these terms.
4. Acceptable use
You must not use the services to break the law, infringe rights, distribute malware or spam, interfere with systems, bypass access controls, scrape protected information, misrepresent identity, or process content without required permissions. We may investigate misuse and suspend access where reasonably necessary.
5. Third-party platforms
Features may connect to services such as Meta, Facebook, Instagram, Google, payment providers or other platforms. Your use of those services remains subject to their terms and availability. You authorise us to exchange data and perform actions you request through the permissions you grant. We are not responsible for third-party changes, outages or enforcement decisions outside our control.
6. Customer content
You retain ownership of content you submit. You grant us a limited licence to host, process, transmit, back up and display that content only as needed to provide and secure the services. You confirm that you have the rights and permissions required for the content and its intended use.
7. Our intellectual property
Guj Infotech and its licensors retain rights in the services, software, designs, documentation, trademarks and underlying technology, excluding customer content. Unless expressly permitted, you may not copy, resell, reverse engineer, remove notices from or create unauthorised derivative works from our services.
8. Fees, subscriptions and taxes
Where a service is paid, fees, billing cycles, usage limits, renewal and cancellation terms are shown in the applicable plan or agreement. Fees are exclusive of applicable taxes unless stated otherwise. Failure to pay may result in restricted or suspended service.
9. Availability and changes
We aim to provide reliable services but do not guarantee uninterrupted or error-free operation. Maintenance, security events, internet failures and third-party dependencies may affect availability. We may improve, replace or discontinue features and will provide reasonable notice where a material change affects a paid service.
10. Confidentiality
Each party must protect confidential information using reasonable care and use it only for the agreed purpose. This does not cover information that is public through no breach, independently developed, lawfully received from another source or required to be disclosed by law.
11. Disclaimers
To the extent permitted by law, services are provided on an “as available” basis. We do not promise that a service will meet every requirement or that generated recommendations, automation or third-party data will always be complete or accurate. Nothing in these terms excludes rights that cannot lawfully be excluded, including applicable Australian Consumer Law rights.
12. Liability
To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, loss of profits, revenue, goodwill or data. Any agreed liability limits in an order form or service agreement apply. Where no separate limit exists, our aggregate liability is limited to fees paid for the affected service during the preceding 12 months, except where such a limit is prohibited by law.
13. Suspension and termination
You may stop using the services at any time, subject to subscription or project commitments. We may suspend or terminate access for material breach, non-payment, security risk, unlawful use or where required by a provider or law. Provisions concerning payment, ownership, confidentiality, disclaimers and liability survive termination.
14. Governing law and contact
Unless a separate agreement says otherwise, these terms are governed by the laws applicable in Queensland, Australia, and the parties submit to the courts of that jurisdiction. Questions can be sent to info@gujinfotech.com.
15. Updates
We may update these terms by publishing a revised version and effective date. Continued use after an update takes effect indicates acceptance of the revised terms.
